Welcome to Aquaon Inc. (“Aquaon”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and the purchase and use of water filtration products (collectively, the “Service”). By accessing the Service, placing an Order, or using our Products, you agree to these Terms. If you do not agree, do not use the Service or place orders. These Terms are effective as of October 11, 2025.
1. Definitions & Interpretation
1.1 Definitions.
“Account” means your registered user account on our website.
“Products” means the water filters, filter cartridges, associated parts or accessories offered by Aquaon.
“Order” means your request to purchase one or more Products via Aquaon’s website.
“Site” or “Website” means the Aquaon website and online platform.
“Warranty Period” means twenty-four (24) months from the date of delivery of the Product (unless otherwise specified).
“Return Period” means seven (7) calendar days from the date you receive the Product.
“Territory” means the geographic areas where Aquaon ships and is legally allowed to sell (e.g., Canada, U.S.).
“Defect” means a proven defect in materials or workmanship under normal use (not due to misuse).
1.2 Interpretation.
Headings are for convenience and do not affect interpretation.
If a conflict arises between these Terms and any other policy (e.g., Return Policy, Warranty Policy, Privacy Policy), the explicit terms in the respective policy shall prevail only where explicitly noted within that policy.
References to “you” and “your” include both individuals and legal entities (where applicable).
2. Eligibility & Accounts
2.1 Age & Capacity.
You represent that you are of legal age in your jurisdiction (at least 18 years old or the legal age) and have capacity to enter into binding agreements.
2.2 Account Registration.
To place orders or access certain features, you may be required to register. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your login credentials, and for all activity under your account. You must notify Aquaon immediately upon any unauthorized use or breach.
2.3 Suspension / Termination.
We may suspend, disable, or terminate your account (and your access to the Service) at our discretion, for reasons including (but not limited to) violation of these Terms, fraudulent activity, or requests by law enforcement.
3. Use of the Service & Acceptable Conduct
3.1 Lawful Use.
You agree to use the Service only for lawful purposes and in compliance with all applicable laws (federal, provincial/state, local).
3.2 Prohibited Conduct.
Without limiting other rights, you must not:
- Violate rights of third parties (intellectual property, privacy, publicity);
- Upload, post, or transmit content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable;
- Interfere with or disrupt the Service or servers;
- Use automated means (robots, scrapers, spiders) to access or extract data if prohibited;
- Circumvent or attempt to circumvent access restrictions.
3.3 Termination for Breach.
If you breach these Terms or act in a manner harmful to Aquaon or others, we may immediately terminate or suspend your access, cancel orders, or take other actions without liability.
4. Product Descriptions, Availability & Changes
4.1 Accuracy.
We endeavor to ensure Product descriptions (images, specifications, pricing, availability) are accurate and up to date. However, mistakes or omissions may occur.
4.2 Corrections & Modifications.
Aquaon reserves the right to correct errors (including pricing) and to change or discontinue any Product at any time without prior notice. If a material error is discovered after an Order is accepted, we reserve the right to revise the Order or cancel it and issue a refund.
4.3 Availability.
A Product’s presence on our site does not guarantee availability. All Orders are subject to acceptance and stock.
4.4 Water Filter Specifics.
Because Aquaon’s Products are water filters, you acknowledge that performance depends on proper installation, water quality, flow rates, pressure, and maintenance. Specifications (e.g., filtration capacity, micron rating) are approximate and based on testing under ideal conditions; actual performance may vary.
5. Orders, Acceptance & Contract Formation
5.1 Order Placement.
By placing an Order, you offer to purchase the specified Products under these Terms. You must confirm that all Order details (Product, quantity, shipping address) are correct before submission.
5.2 Order Acceptance.
We may accept or reject your Order at our discretion (e.g., due to stock, pricing error, fraud risk). No binding contract is formed until we send you a separate confirmation email indicating the Product has shipped (e.g., shipping confirmation). An initial order receipt does not constitute acceptance.
5.3 Cancellation by You.
You may request cancellation of an Order before it has shipped. If the Order has already shipped, cancellation may not be possible.
5.4 Cancellation by Aquaon.
We reserve the right to cancel an Order at any time (even after acceptance) for any reason (e.g., stock issues, fraud suspicion, pricing error). If canceled post-payment, we will refund you.
6. Pricing, Taxes & Payment
6.1 Pricing.
Prices displayed are in Canadian Dollars (CAD) and exclude taxes, duties, and shipping unless stated otherwise.
6.2 Taxes & Import Duties.
You are responsible for all applicable taxes, customs duties, import charges, and brokerage fees for orders shipped across borders.
6.3 Payment Methods.
We accept the payment methods displayed at checkout. By placing payment, you authorize us (or third-party processors) to charge your payment method.
6.4 Chargebacks & Payment Disputes
If your payment is reversed, disputed, or charged back by your bank or payment provider, Aquaon Inc reserves the right to temporarily suspend or cancel your order and account access. We may also take reasonable steps to recover any outstanding amounts, including transaction fees or costs related to the dispute.
If you believe a charge was made in error, please contact our customer support team first so we can help resolve the issue before it becomes a formal dispute.
7. Shipping, Delivery & Risk
7.1 Shipping Methods & Estimates
All orders from Aquaon Inc are shipped using our designated carrier partners. Shipping costs are automatically calculated at checkout based on the delivery address, location, and distance from our fulfillment center. Estimated delivery times are provided for convenience only and may vary depending on factors such as carrier delays, weather conditions, customs processing, or other events beyond our control.
Aquaon Inc is not responsible for delays once the order has been handed over to the carrier.
7.2 Risk & Title.
Risk of loss or damage passes to you once the Product is delivered to the carrier. Title transfers to you only after full payment is received.
7.3 Inspection & Claims
Upon receiving your order from Aquaon Inc, you are required to inspect the shipment immediately. This includes checking:
- The exterior of the package for visible damage (dents, tears, water damage, etc.)
- The contents to ensure all items are included, undamaged, and match your order
- That all seals, packaging, and accessories are intact
If you notice any visible damage, missing items, or incorrect products, you must:
- Document the issue by taking clear photographs of the damaged or missing items and packaging.
- Note any damage on the carrier’s delivery receipt or manifest.
- Notify Aquaon Inc within 24 hours of delivery via our customer support contact channels, including your order number and the details of the issue.
Failure to inspect the shipment promptly, report visible damage, or provide documentation may limit or void your rights to replacement, repair, or refund under Aquaon Inc’s policies.
Aquaon Inc will work with the carrier to investigate, process claims, and resolve the issue promptly. Where eligible, we will provide a replacement, repair, or refund at our discretion, in accordance with our Returns & Warranty policies.
7.4 Delays.
Aquaon is not liable for delays caused by carriers, customs, weather, strikes, acts of God, or other events beyond our control.
8. Returns, Refunds & Exchanges
8.1 Return Period & Conditions.
You may return a Product only within seven (7) calendar days after delivery (the “Return Period”), subject to these conditions:
- The Product must be unused, unopened, and in perfect original packaging (all seals, labels, accessories intact).
- Products that have been installed (i.e., used in plumbing), modified, or removed from their original packaging will not be eligible for return.
- You must request a Return Authorization from us (e.g., via email) before returning; we may refuse returns without authorization.
8.2 Return Process.
- Contact us within the Return Period stating your reason and order details.
- Once authorized, return the Product using secure packaging and (unless we agree otherwise) at your expense.
- We may require tracking and insurance for the return shipment.
8.3 Refunds.
- After we receive and inspect the returned Product, and if it satisfies return conditions, we will issue a refund to your original payment method (or alternate as mutually agreed).
- Refunds will not include original shipping charges, and you bear return shipping costs (unless return is due to our error).
- We may deduct a restocking or handling fee if packaging is damaged, parts missing, or if the item does not strictly satisfy return conditions.
8.4 Exchanges.
If you request an exchange (e.g., different model), we may require you to return the original first or ship the replacement after return approval.
8.5 Defective or Damaged on Arrival.
If a Product arrives defective, damaged, or incorrect (through no fault of yours), contact us immediately (within 7 days). We will cover return shipping and, at your choice, offer a replacement or full refund, subject to verification.
9. Warranty
9.1 Limited Warranty.
Aquaon Inc. warrants that, under normal use and proper installation according to our instructions, Products will be free from defects in materials or workmanship for a period of twenty-four (24) months from the date of delivery (the Warranty Period).
9.2 Warranty Coverage & Remedies.
If you notify us during the Warranty Period of a Defect and satisfy the warranty conditions, Aquaon’s sole obligation (and your exclusive remedy) will be — at Aquaon’s option — repair, replace the defective Product (or part), or refund the purchase price (excluding shipping).
9.3 Warranty Conditions & Exclusions.
This warranty does not cover, and is voided by or excludes:
- Damage due to misuse, abuse, neglect, accident, alteration, improper installation, lack of maintenance, or exceeding design specifications (pressure, flow, water conditions);
- Use of non-Aquaon replacement parts, third-party filters or components that void compatibility;
- Normal wear parts (e.g., O-rings, gaskets, filter cartridges, membranes) unless expressly covered;
- Damage due to chemical attack, scale, fouling, corrosion, sediment or particulate accumulation, or water outside recommended parameters;
- Unauthorized repair or modifications;
- Damage due to acts of nature (flood, fire, earthquake), shipping damage, or external causes beyond our control.
9.4 Warranty Claim Procedure.
To make a claim:
- Contact us in writing during the Warranty Period with your order number, date, product serial or model, description of the defect, and photographs.
- We may require you to return the defective Product or part (freight prepaid by you, unless we agree otherwise) for inspection.
- We will inspect it; if we determine the defect is covered, we will repair or replace or refund, at Aquaon’s discretion.
- The repaired or replaced component/Product will carry the remainder of the original Warranty Period (i.e., it does not restart a new 24 months).
9.5 Limitation of Warranty.
Except for this express warranty, Aquaon disclaims all other warranties, express or implied (including merchantability, fitness for a particular purpose, non-infringement) to the fullest extent permitted by law.
9.6 Compliance with Warranty Law (Canada)
This warranty is intended to comply with all applicable Canadian consumer protection and sale of goods legislation, including but not limited to the Consumer Protection Act, 2002 (Ontario) and the Sale of Goods Act (Ontario).
In the event of any ambiguity, these Terms shall be interpreted in a manner consistent with the rights provided to consumers under applicable provincial and federal laws. Nothing in this warranty is intended to limit or exclude any statutory rights or remedies available to consumers under Canadian law.
10. Limitation of Liability
10.1 Cap on Liability.
To the maximum extent allowed by law, Aquaon’s total liability arising from or relating to these Terms, your use of the Service or Products, or any breach, shall not exceed the amount you paid (if any) for the specific Product giving rise to the claim.
10.2 No Indirect Damages.
Aquaon is not liable for indirect, incidental, consequential, punitive, or special damages (loss of profits, revenue, data, use, downtime, property damage) arising from the use or inability to use Products or the Service—even if advised of the possibility of such damages.
10.3 Jurisdictional Limitations.
Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages; in those jurisdictions, some disclaimers or limitations above may not apply to you. In those cases, Aquaon’s liability is limited to the greatest extent permitted by law.
11. Intellectual Property
11.1 Ownership.
All content on the Service (text, images, logos, software, trademarks) is the property of Aquaon or its licensors and is protected by copyright, trademark, and other intellectual property laws.
11.2 License to Use.
We grant you a limited, revocable, non-exclusive right to access and use the Service and view content for personal, non-commercial purposes subject to these Terms. You may not reproduce, distribute, modify, adapt, or create derivative works without our express written permission.
11.3 User Contributions.
If you post reviews, feedback, comments, or other content, you grant Aquaon a perpetual, royalty-free, worldwide, sublicensable license to use, reproduce, distribute, and adapt that content.
11.4 Infringement Claims.
If you believe your copyright or IP rights are infringed, notify us with a written notice specifying the work, the infringing material, your contact, and other required information.
12. Privacy & Data Use
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Service, you consent to our data practices.
You agree to receive communications from us (email, SMS, notifications) related to your orders, products, promotions, unless you opt out as permitted by law.
13. Third-Party Services & Links
13.1 Third-Party Links.
The Service may include links to third-party websites or services. We do not control or endorse those and are not liable for their content or practices.
13.2 Payment & Shipping Providers.
We may use third-party payment processors, shipping carriers, or logistics services. You agree to their terms, and Aquaon is not responsible for their actions or omissions.
14. Promotions, Discounts & Gift Cards
14.1 Promotions & Coupons.
Promotional codes or discounts are subject to terms (validity period, minimum order, restrictions). Aquaon may refuse or cancel promotions in its discretion.
14.2 Gift Cards / Store Credit.
If offered, they are non-refundable, non-transferable, and subject to additional terms (e.g., expiry). Aquaon is not responsible for lost or stolen codes.
14.3 Non-Combinability.
Unless explicitly stated, promotional offers cannot be combined.
15. Disputes, Governing Law & Arbitration
15.1 Dispute Resolution.
You agree first to contact us to resolve issues amicably. If unresolved, you may pursue binding arbitration or legal action (as below).
15.2 Governing Law.
These Terms (including non-contractual obligations) are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles.
15.3 Jurisdiction & Venue.
You consent to the exclusive jurisdiction and venue of the courts located in the Region of Waterloo (Kitchener), Ontario for any legal disputes.
15.4 Arbitration (optional).
At Aquaon’s option, disputes (excluding small claims, injunctive relief) may be resolved by binding arbitration under the rules of the ADR Institute of Canada. Decisions are final and may be entered in courts.
15.5 Class Action Waiver (if enforceable).
You and Aquaon waive any right to a class or representative action; claims must be brought individually.
16. Severability & Waiver
16.1 Severability.
If any part of these Terms is invalid or unenforceable, that part is severed and the remainder remains in effect.
16.2 Waiver.
Aquaon’s failure to enforce any right or provision is not a waiver of future enforcement.
17. Amendments & Updates
17.1 Right to Modify.
Aquaon may update or revise these Terms at any time.
17.2 Notice.
We will post the updated version on the site with a “Last Updated” date, and may notify you of material changes (e.g., via email).
17.3 Acceptance of Changes.
Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.
18. Miscellaneous
18.1 Assignment.
You may not assign or transfer your rights or obligations here without Aquaon’s consent; Aquaon may assign freely (e.g., in merger or sale).
18.2 Entire Agreement.
These Terms (plus the Privacy Policy and other linked policies) constitute the entire agreement between you and Aquaon regarding the Service.
18.3 Notices.
Notices to Aquaon shall be sent via email or posted on the website. You consent to electronic communications.
18.4 Force Majeure.
Aquaon is excused from delay or non-performance due to causes beyond reasonable control (e.g., natural disaster, war, strike, supply disruption).
